The incident occurred on Ten Mile Beach, in northern NSW.
Paul Maris, along with Adrian Attwater appeared in the Supreme Court in Sydney on Friday.
Attwater pleaded not guilty to manslaughter and aggravated sexual assault, and Maris pleaded not guilty to being an accessory to both counts.
Lynette Daley, 33, died from severe blood loss after she was allegedly raped on Ten Mile Beach, north of Iluka, during an Australia Day camping trip in 2011.
Ms Daley had been camping at the beach with Attwater, 42 and Paul Maris, 46, of Wauchope.
The men are due to stand trial on July 24 next year.
